This Week in S-1s: Eight Filings, Zero Unicorns

Eight S-1 and S-1/A filings hit EDGAR between Aug. 26 and Aug. 27 -- a blank-check shell, a Reg A graduate, a convenience-store operator and a biotech among them, with no venture-scale technology company in the group.

THE RUNDOWN

1

Eight S-1 and S-1/A registrations were filed with the SEC on Aug. 26 and Aug. 27, 2026, per [EDGAR](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&type=S-1&dateb=&owner=include&count=40&action=getcompany)

2

Three were fresh S-1s; five were amendments to registrations already in the queue, several on their third revision

3

Not one is a venture-backed technology company -- the group is small-cap, shell and specialty issuers

4

The contrast with the private market is the point: OpenAI, Anthropic and DeepSeek dominate listing conversation while the actual registration pipeline is micro-cap

Eight registrations in two days and not one venture-backed technology company. Anyone telling you the IPO window is open should be asked which filings they are looking at, because the EDGAR queue this week is a blank-check shell, a convenience-store operator on amendment three, and a Reg A graduate. The window is open for the four or five companies large enough to open it themselves. For everyone else the Series C is still the exit conversation.

Analysis

Eight registration statements hit SEC EDGAR across Aug. 26 and Aug. 27, 2026. Here is every one of them:

  • Velos Acquisition I Corp. (CIK 0002016072) -- filed a fresh S-1 on Aug. 26. A blank-check company (SIC 6770) at 200 Park Avenue, 58th floor, New York. It already files 10-Qs, so this registration sits alongside an existing public shell rather than launching one.
  • Dare Bioscience, Inc. (CIK 0001401914) -- fresh S-1 on Aug. 26. A San Diego women's-health biotech, already Nasdaq-listed, using the shelf-style registration route familiar to small-cap life sciences.
  • Reliance Global Group, Inc. (CIK 0001812727) -- fresh S-1 on Aug. 27. An insurance-agency roll-up and long-running micro-cap issuer.
  • Starfighters Space, Inc. (CIK 0001947016) -- S-1/A on Aug. 26. The Kennedy Space Center-based launch company, amending an existing registration.
  • RZ Wellness Ltd (CIK 0002130959) -- S-1/A on Aug. 26.
  • FullPAC, Inc. (CIK 0002076148) -- S-1/A on Aug. 27. A Virginia Beach business-services company (SIC 7389) that filed Reg A reports (1-K, 1-U) earlier this year and is now on its third S-1 amendment since the June 2 original -- a Regulation A issuer stepping up to a full registration.
  • USBC, Inc. (CIK 0001074828) -- S-1/A on Aug. 27.
  • Youmi Inc. (CIK 0002137360) -- S-1/A Amendment No. 3 on Aug. 27. Nevada-incorporated, registered at 725 Fifth Avenue in Manhattan, classified under retail convenience stores (SIC 5412), working through amendments since its May 28 original filing.

A blank-check company (SIC 6770) at 200 Park Avenue, 58th floor, New York.

Three fresh S-1s, five amendments, one blank-check shell, zero venture-backed technology companies.

That gap is the whole data point. The listing conversation in 2026 is dominated by names that have not filed anything -- OpenAI, Anthropic, DeepSeek heading for Shanghai's STAR Market at up to $71 billion. Meanwhile the registrations actually moving through EDGAR are micro-cap operators, Reg A graduates and shells, several on their third round of SEC comments. The pipeline that exists and the pipeline that matters are two different lists, and the second one is still private.
